I am 5 feet and weigh 140 pounds...what size? allowing for shrinkage?

Not sure what would work for you. I'm 5'3, 130 #. I normally wear a 6, and size 7 worked great for me allowing for shrinkage.

Do these have material cover over the waist band ?

Yes waistband is covered but panties shrunk in first wash. I suggest buying a size bigger than you would normally buy.

Do the actual panties say 100% organic cotton or just 100%cotton?

The tag itself doesn't say organic but they do have organic on the packaging. They are the best price and most comfortable I have been able to find that doesn't have a synthetic fiber blend. Most organic ones I have found have 5% spandex and it causes me breathability issues. These ones keep me comfortable with no issues. I recommend them if you don't want to break the bank and you want a 100% cotton underwear that (at least for me) doesn't cause irritations.
