An excellent book and all you really need to get a grasp of the vast amount of material in the field of corporate governance. The book is concise, clear and state-of-the art.David Larcker is a senior scholar in the field of Accounting; he was a Professor at the Wharton School before Stanford. The book draws upon (peer-reviewed) academic studies and distills these into plain English. Speculation is eschewed in favor of sound empirics and common-sense theory.

This book was suggested by my professor at college and I had to buy it again after graduation to read it since i had an electronic copy at that time. If you want start educating yourself about corporate governance this is the right place.

Quite a lot of info; well presented
The author presents all the different dimensions of corporate governance clearly. For a first-time board member, the book is a great overview on the issues you will be asked to consider.
